Acceptance of these Terms
Welcome to Greydale Africa Limited (“Greydale Africa”, “we”, “our”, or “us”). These Terms of Use govern your access to and use of all Greydale Africa websites and microsites, mobile applications, event registration portals, awards submission platforms, online communities, webinars, digital content, online forms, and any other digital services operated by Greydale Africa (collectively referred to as the “Platforms”). By accessing or using any of our Platforms, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with these Terms, you should discontinue use of the Platforms immediately.

Eligibility
To use our Platforms, you must have the legal capacity to enter into a binding agreement under the laws applicable in your jurisdiction. If you access or use the Platforms on behalf of an organization, company, government institution, or other entity, you represent and warrant that you have the authority to bind that organization to these Terms and that both you and the organization agree to comply with them.
You must also be at least eighteen (18) years old, or the age of majority in your jurisdiction, to use the Platforms or register an account. Where a service is made available to a minor, it will be on the basis of verifiable parental or guardian consent only.
User Accounts and Registration
Certain services offered through our Platforms may require users to create an account or register for access. When creating an account, you agree to provide accurate, complete, and current information and to keep such information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Greydale Africa reserves the right to suspend or terminate accounts where information provided is inaccurate, misleading, incomplete, or where account activity violates these Terms.
Acceptable Use
Users are expected to use the Platforms responsibly and in accordance with applicable laws. You agree not to engage in activities that may compromise the security, functionality, or integrity of the Platforms. This includes attempting unauthorized access to systems, uploading malicious software, distributing spam, impersonating individuals or organizations, infringing intellectual property rights, harvesting personal information without consent, or engaging in any unlawful, harmful, or disruptive conduct. Greydale Africa reserves the right to restrict or terminate access to users who violate these requirements.
Event Platforms and Event Applications
Our Platforms and Event Apps support conferences, exhibitions, awards programmes, webinars, networking activities, and other professional engagements. While we strive to provide a seamless experience, users acknowledge that event schedules, speakers, venues, programmes, and other event details may change without prior notice. Registration does not guarantee attendance where capacity restrictions apply, and virtual events may occasionally experience technical interruptions beyond our control. Participants are expected to conduct themselves professionally and respectfully when interacting with other users, speakers, sponsors, and event organizers.
Award Programmes
Where our Platforms facilitate awards submissions and nominations, entrants remain responsible for ensuring that all information submitted is accurate, complete, and supported by appropriate evidence where required. Greydale Africa may request additional documentation to verify submissions. Incomplete or misleading submissions may be disqualified, and all judging decisions are final unless otherwise stated. Submission of an entry does not guarantee nomination, shortlisting, recognition, or selection. Entrants further confirm that they own or have permission to use any materials submitted as part of their entry.
Payments, Registrations, and Refunds
Certain events, services, sponsorship opportunities, subscriptions, or programmes offered through the Platforms may require payment. By making a payment, you confirm that the information provided is accurate and that you are authorized to use the selected payment method. Unless otherwise stated for a specific event or service, payments are non-refundable. Requests for refunds, cancellations, substitutions, or transfers will be considered in accordance with the specific policies communicated for the relevant event or service.
Intellectual Property Rights
All content available through the Platforms, including logos, trademarks, branding, software, graphics, photographs, videos, publications, presentations, event materials, databases, and other intellectual property, remains the property of Greydale Africa or its licensors unless otherwise indicated. Such content is protected by applicable intellectual property laws. Users may access content for personal or authorised business use only and may not reproduce, distribute, modify, publish, or commercially exploit any content without obtaining prior written permission from Greydale Africa.
User Content
Where users submit information, photographs, videos, award entries, presentations, comments, testimonials, or other content through the Platforms, they grant Greydale Africa a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish, display, and distribute such content solely for purposes related to the relevant programme, event, publication, research initiative, or service. Users remain responsible for ensuring that they possess all necessary rights and permissions to submit such content and that such submissions do not infringe upon the rights of any third party.
Photography, Video, and Event Media
By attending Greydale Africa events, webinars, conferences, exhibitions, or networking sessions, you acknowledge that photographs, video recordings, livestreams, and audio recordings may be captured for documentation, promotional, educational, reporting, archival, and marketing purposes. Where required by law, consent will be obtained separately. Individuals who prefer not to appear in recordings should notify event organisers before or during the event, and reasonable efforts will be made to accommodate such requests.
Third-Party Services
Our Platforms may integrate with third-party services such as payment processors, analytics providers, livestreaming platforms, cloud hosting providers, social media platforms, and mapping services. While these integrations may enhance user experience, Greydale Africa does not control and is not responsible for the availability, content, security, or privacy practices of third-party services. Users are encouraged to review the terms and privacy policies of any third-party services they access.
Availability of the Platforms
Greydale Africa strives to maintain reliable and secure access to its Platforms. However, we do not guarantee uninterrupted availability and reserve the right to modify, update, suspend, or discontinue features, services, or content at any time. Temporary interruptions may occur due to maintenance, upgrades, technical issues, security requirements, or circumstances beyond our reasonable control.
Platforms Privacy and Data Protection
Your use of the Platforms is also governed by our Privacy Policy and Cookie Policy, which explain how personal information is collected, used, stored, shared, and protected. By using our Platforms, you acknowledge that you have reviewed these policies and consent to the practices described within them.
Disclaimer of Warranties
The Platforms and all related services are provided on an “as is” and “as available” basis. While Greydale Africa makes reasonable efforts to ensure that information provided through the Platforms is accurate and up to date, we do not guarantee the completeness, reliability, accuracy, or availability of any content, service, or functionality. Users are responsible for independently verifying information before relying upon it.
Limitation of Liabilities
To the fullest extent permitted by applicable law, Greydale Africa shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of, or inability to use, the Platforms. Nothing in these Terms excludes or limits liability where such exclusion or limitation would be prohibited by law.
Subject to the foregoing, and to the fullest extent permitted by law, Greydale Africa’s total aggregate liability arising out of or in connection with your use of the Platforms shall not exceed the total amount (if any) paid by you to Greydale Africa for the relevant event, service or subscription in the twelve (12) months preceding the event giving rise to the claim.
Indemnity
You agree to indemnify, defend, and hold harmless Greydale Africa, its directors, officers, employees, consultants, contractors, affiliates, and partners from any claims, losses, damages, liabilities, costs, or expenses arising from your breach of these Terms, unlawful use of the Platforms, infringement of third-party rights, misuse of user accounts, or violation of applicable laws and regulations.
Suspension and Termination
Greydale Africa reserves the right to suspend, restrict, or terminate access to the Platforms where necessary to protect users, investigate suspected misuse, comply with legal obligations, maintain system security, or protect legitimate business interests. Such action may be taken without prior notice where circumstances require immediate intervention.
Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy and any terms specific to a particular event or service, constitute the entire agreement between you and Greydale Africa regarding the Platforms and supersede any prior understandings.
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. No failure or delay by Greydale Africa in exercising any right under these Terms shall operate as a waiver of that right.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Greydale Africa may assign these Terms in connection with a merger, acquisition or transfer of assets.
Force Majeure. Greydale Africa shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, power or network failures, or governmental action.
Survival. Provisions which by their nature should survive termination – including Intellectual Property Rights, User Content, Disclaimer of Warranties, Limitation of Liability, Indemnity and Governing Law shall continue to apply after termination of your access.
Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Kenya. Any disputes arising from or relating to these Terms or the use of the Platforms shall be subject to the exclusive jurisdiction of the competent courts of Kenya, unless otherwise agreed in writing by the parties.
Before commencing formal proceedings, the parties shall use reasonable efforts to resolve any dispute amicably through good-faith negotiation.
Changes to these Terms
Greydale Africa may update these Terms from time to time to reflect changes in legal requirements, business practices, technologies, or Platform functionality. Updated versions will be published on the relevant Platforms together with the revised effective date. Continued use of the Platforms after such updates constitutes acceptance of the revised Terms.
